BOISE VALLEY RIDERS : RIDING CLUB CHARTER
Boise Valley Riders (BVR): Riding Club (R.C.), an organization of the Boise Valley Riders Inc., has been founded to promote the enjoyment of owning and riding motorcycles. Our goal is to explore and ride the many scenic roads of our beautiful country. Any activities performed or sponsored by the BVR : R.C. will be lawful.
Each member, while wearing BVR : R.C. apparel or participating in BVR : R.C. sponsored events such as meetings, rides or any other activities, will display and maintain a conduct of courtesy and respect towards fellow members and others outside of BVR : R.C.. All members shall obey all traffic rules while participating in BVR R.C. sponsored events. All members should make a conscious effort in the interest of safety and the integrity of the club.
Membership conduct will be defined in the By-Laws being adjunct to this charter. The Charter and By-Laws will be made available to each member and will be required to affirm compliance by signature. Registration via the web form acts as an electronic signature. Failure to comply with the Charter and/or By-Laws as set forth may result in penalties and/or in the termination of membership, in accordance with the stipulation of the By-Laws.

ARTICLE I -- RELEASE OF LIABILITY
Boise Valley Riders Inc. (hereinafter "BVR"), is an organization made up of volunteers operating with the sole purpose of promoting good, clean, and safe riding activities. Each member and guests participates in activities solely by choice and participation itself relinquishes any responsibility of the BVR as an organization for any and all liabilities resulting in participation in any BVR Activity. All activities must comply with any and all state or local laws and ordinances. Any personal injury or property damage resulting during a BVR Activity or at any time, becomes the responsibility of the individual parties involved, and at no time shall the Boise Valley Riders Inc., its owners, founder, directors, officers, members, employees, agents, assigns, volunteers, legal representatives and successors be held liable. BVR encourages you to exercise discretion while using information contained in the BVR website. BVR makes no representations concerning any endeavor to review the content of sites listed here, or any of the Materials, and so BVR isn't responsible for the accuracy, copyright compliance or legality of material contained in sites listed or linked from our website.
I am voluntarily participating in a motorcycle riding club called the "Boise Valley Riders / BVR". I acknowledge that participating in BVR is inherently dangerous and may result in my illness, death, damage, loss or injury to person and property and I understand and accept these dangers and risks.
In consideration for being allowed to participate in the all BVR Activities, I agree to WAIVE and RELEASE, Boise Valley Riders Inc. and their sponsored events (collectively referred to as the "BVR Activities"), and the BVR Activities' owners, founder, directors, officers, members, employees, agents, assigns, volunteers, legal representatives and successors from all liability, manner of actions, causes of action, debts, contracts, claims and demands for or by reason of any illness, death, damage, loss or injury to person and property, which has been or may be sustained as a direct or indirect consequence of participating in BVR, notwithstanding that such damage, death, illness, loss or injury may have been caused partly by the negligence of the BVR Activities.
I agree to INDEMNIFY and HOLD HARMLESS the BVR and all BVR Activities for any and all costs or liabilities which they may incur as a direct or indirect result of my negligent or intentional act or omission while participating in BVR Activities and/or BVR.
I acknowledge and agree that I have carefully read this Release of Liability, that I fully understand the same, and that I freely and voluntarily execute the same. I understand that registering online is an electronic signiture of this acceptance of terms. I understand that I may seek independent advice prior to signing this Release of Liability. I understand that this Release of Liability is binding on me, my spouse, my executors, administrators, personal representatives and assigns and that this Release of Liability has important legal consequences. The terms of this Release of Liability are contractual and not mere recitals. This Release of Liability will be construed in accordance with and governed by the laws of the State of Idaho.

ARTICLE II -- MEMBERSHIP QUALIFICATIONS AND ENROLLMENT
II-I. - New Full Membership
A.) All full members must have a Motorcycle Endorsement and be 21 years of age or older. The individual must own a motorcycle. The motorcycle must be in good operating condition and properly registered and insured according to the Idaho State Motor Vehicle Department.
B.) All full members must pledge to uphold the Charter and By-Laws to the associate member.
C.) A full member assumes full liability of their sponsored associate members and/or guests. A full member also acknowledges their responsibility to educate their associate members and/or guests in the rules herein, specifically the General Liability Disclaimer.
II-II. Associate Membership
A.) Any spouse or significant other of a full member who does not ride their own motorcycle but who rides as a passenger on their spouse or significant other�s motorcycle is considered by this Charter as an Associate Member. As an Associate Member they are bound to the BVR R.C. Charter and By-Laws.
B.) It is the responsibility of the Sponsoring Member to educate/provide a copy of the Charter and By-Laws.
C.) All associate members will uphold the Charter and By-Laws. Sponsoring Members will be liable for any failure by their Associate Member to uphold the Charter and By-Laws.
D.) Any Associate member who obtains a motorcycle endorsement and obtains a motorcycle of his or her own which is in good operating condition, properly registered and insured according to the Idaho State Motor Vehicle Department may then be upgraded to Full Member status by registering.

ARTICLE III -- MEMBERSHIP DUES
A.) Full Membership dues will be set at $0 per year. Associate Membership dues will be set at $0 per year. BVR apparel patches are optional however, BVR apparel is strongly suggested. The BVR apparel are not provided but purchased separately.
B.) It is the BVR club�s intent to remain a membership free club. At such time there becomes a need and/or suggestion by membership to start charging membership dues, a BVR meeting will be held to discuss pros/cons and determine membership due amount.
C.) BVR members that provide services to the club do so on a volunteer basis and will not expect reimbursement. These services are for the good of the club and such members thus have a vested interest in the success of the BVR : R.C..
D.) Some services may require a monetary assessment from membership (clothing, events, food, reservations, etc.) or individual donation for sale.

ARTICLE IV -- BVR CORE SUBSCRIPTIONS
A.) A subset of Full Members that subscribe to additional BVR Services for a fee.
B.) Is made available to all BVR Full and Associate Members but is an optional feature.
C.) Subscriptions are valid for the season of purchase and must be renewed annually.
D.) Subscription fee will be set at $25.00 per year. Proceeds will go to the BVR General fund.
E.) Any changes to services provided with the subscription will be made by a majority vote of the Officers. Core subscribers have the right to appeal by a 2/3-majority vote of the Core subscribers.

ARTICLE V -- OFFICER ROLE DEFINITIONS
V-I. - Primary Officers:
- President - Oversee all BVR Inc. business functions, special programs, promotions and officers. Sets and upholds the organizations tone, vision, and direction the club was founded upon. Ensures that appropriate systems are in place to measure the attainment of goals. Manages all project/program chairs. Fills any officer role that needs to be filled. By appointment of Founder, current President or majority vote by the officers. Tenure is indefinite or until resignation or unanimous vote by officers for replacement.
- Vice-President - Manages all promotional and marketing resources and logistics. Promotions management in all media venues, benefit and vendors liaison. Backs up President as needed. Works closely with President and Operations Director. By appointment of President. Tenure is indefinite or until resignation, majority vote by officers for replacement, or replacement by the President.
- Crew-Director - Represents the membership body to the Organization's leadership body. Will be primary contact for crew members, manages membership processes, all personal disputes and volunteer coordination. Assists logistical planning and organization. Works closely with President and Operations Director. By appointment of the President. Tenure is indefinite or until resignation, majority vote by officers for replacement, or replacement by the President.
- Operations Director - Manages the logistical details for rides and events. Manages all Road Captains. Position and will work closely with all Primary Officers for coordination. By appointment ot the President. Tenure is indefinite or until resignation, majority vote by officers for replacement, or replacement by the President.
V-II. - Discretionary Officers:
- Road Captain - Assists the crew by taking a leadership role during crew rides. Acts as a guide and/or resource for group rides. Is responsible for ensuring everyone makes it to the destination safely. Never leaves a man behind. Road Captains are appointed on an annual basis by the Operations Director. Tenure is one year or until resignation, majority vote by the officers for replacement, or replacement by the Operations Director, Vice-President or President.

ARTICLE VI -- ROAD CAPTAINS/RIDE COORDINATORS
A.) Road Captain status is granted by appointment by the Operations Director. Road Captains are required to follow all duties defined in the Group Riding Rules.
B.) A member eligible for Road Captain status must be a registered core member that is in good standing. The individual must be an active participant in club events. Individual will have held a motorcycle endorsement and operated his/her own motorcycle more than 3 years and have shown, to the Operations Director, responsible operation and leadership.
C.) Any core member can request a non-sanctioned ride event. That member requesting a ride event is the Ride Coordinator. As the Ride Coordinator it is their responsibility to organize staging times, locations, and route details or request assistance from the Operations Director.

ARTICLE VII -- MEMBERSHIP VIOLATIONS/TERMINATIONS
Members who are found in violation of the Charter and/or By-Laws or Terms of Use Policy are subject to penalties and/or may be expelled from the club.
Typical examples of membership violations are:
- Noncompliance with penalties and/or warnings.
- Extremely rude, offensive or insulting behavior towards fellow members or others while involved in club activities or wearing club apparel.
- The initiation of a physical confrontation while being involved in club activities or wearing club apparel.
- Public drunkenness while being involved in club activities or wearing club brand.
- Participation in a club ride while under the influence of drugs.
- Desecration of the club brand.
- Unsafe riding at club rides/events.
Membership violations are not limited to the above examples. In case of serious violations affecting the well-being and/or safety of other club members or the reputation of the club as a whole, members may be barred from any number of club events, such as meetings, club rides or other functions, or their club membership may be terminated permanently. Violators may also be asked to no longer wear BVR apparel.

ARTICLE VIII -- MEETINGS
A.) Meetings may be held at anytime at the request of the core membership. The Crew Director will approve the date, time and location. Meetings are opened to all members, associate members, and family unless otherwise specified. Decision and voting rights are dependent on topic and available to "BVR Core" or Officers only.
B.) The Officers and membership will meet at least once a year to plan the upcoming ride and event schedule. This Annual Planning meeting will be held during the month of January. Officers will meet separately to solidify the schedule.
C.) The Officers will meet monthly.

ARTICLE IX -- EXPENDITURES
A.) It is the BVR clubs intent to remain a not for profit, membership free club.
B.) Any funds in the treasury are membership monies therefore; prudent judgment shall be used in the handling and disbursement of such funds.
C.) Treasury responsibilities will be managed by the President.
D.) Large purchases not considered maintenance costs will be voted on by Primary Officers.

ARTICLE X -- BVR PHOTOS and GALLERIES
A.) All website design, text, photographs, graphics, sound, and other content, and the selection and arrangement thereof, are the property of Boise Valley Rider�s Inc. or its licensors, and are protected by United States and international copyright law. All rights to such materials are reserved to their respective copyright owners. Any use of materials on this site other than as described in these Terms and Conditions is strictly prohibited, including but not limited to the distribution of the materials, the creation of derivative works, and the use of the materials for any commercial purpose.
B.) BVR : R.C.�s goal is to promote the free-flowing exchange of expression relating to members� interests, activities and hobbies while maintaining a certain level of respect and decency. While BVR makes all reasonable attempts to remove objectionable materials, BVR is not responsible for policing every little picture. Any concerns regarding photo content will be addressed with the Crew Director.

ARTICLE XI -- CLUB RIDES
A.) All members may make ride suggestions for the upcoming ride schedule. The rides are subject to change by a majority participant vote at any meeting, event, staging location, etc. All sanctioned rides are �Road Captain�s choice�.
B.) All BVR Crew members that have subscribed as a "BVR Core" may call for an unscheduled ride event at their leisure.
C.) Members will fully comply with and strictly adhere to all group riding instructions and safety procedures. Failure to do so constitutes a gross violation of the Charter and By-Laws and will result in direct corrective action as deemed necessary by the Officers.
D.) The Road Captain is empowered to remove any member or guest from the group if their riding style and/or behavior, motorcycle and/or equipment constitute a safety hazard.
E.) Any safety problems are to be brought to the attention of the Road Captain or Operations Director by any ride participant.
F.) All members and guests are to have a valid motorcycle endorsement and adequate and current insurance.
G.) New members will be placed at the rear of the group for observation by the Tail-gunner during their first group ride.
XI-I. - Guest Invitations to Club Rides
A.) Any club member in good standing may invite other riders as guests to participate in club events/rides. Guests must show proof of a valid motorcycle endorsement and insurance.
B.) The inviting member must introduce invited guests, prior to the ride to the Road Captain and the entire club in attendance.
C.) It is the inviting member�s responsibility to provide such guests with proper riding instructions prior to ride participation, in accordance with the club group riding guidelines.
D.) The inviting member assumes full liability of their sponsored guests. The inviting member also acknowledges their responsibility to educate their guests in the rules herein, specifically the General Liability Disclaimer. Member may request assistance in these guidelines from the Road Captain.
E.) Inviting members must be aware that guests may not be familiar with the difference in riding style that a group ride requires. In the interest of safety, guests unfamiliar with group riding must be kept at the rear of the group with the inviting member where the safety of the rest of the club members is not jeopardized.

ARTICLE XII -- BVR SPECIAL PROJECTS
A.) BVR : R.C. will continue to be active in the community by working with the Boise Valley Riders Inc. to provide special projects to the membership for this effort.
B.) BVR Full and Associate Members will make every effort possible to support these projects.
C.) BVR Special Projects will be managed by the Project Chair reporting to the President.
D.) As much as the BVR would love to help all efforts out there, not all proposed projects could be tackled. In the interest of the benefactors, volunteers, and impact, the Primary Officers shall select a set number of special projects. No new projects will be added to the schedule unless otherwise permitted by a unanimous vote of the Primary Officers.
E.) No Special Project using the BVR name and/or resources will be permitted without consent of the President. Because the BVR integrity is a stake in any endeavor, failure to consult with the President in BVR Name use will not be tolerated.

ARTICLE XIII -- GRIEVANCES
Violations to the Charter & By-Laws or Terms of Use will be dealt with by the BVR Crew Director with the assistance of the primary officers.

ARTICLE XIV -- CLUB NAME/LOGO/APPAREL
A.) Club Name/Logo will remain the property of the Boise Valley Riders Inc.
B.) Club Name/Logo may not be copied or altered in anyway and is protected by copyright rules. Failure to adhere to these rules is punishable by law.
C.) BVR Name, Logos, banners etc. may not be used without explicit permission from the Boise Valley Riders Inc.

ARTICLE XV -- BVR FOUNDER CLAUSE
A.) The Founder recognizes that by creating a Board of Officers he has relenquished control to the Board to govern the BVR membership.
B.) The Founder will continue to represent as the "Vision" of the BVR for as long as he so chooses. This role cannot be pasted to anyone other.
C.) In the event that the Founder feels the BVR has "lost it's way" in the vision that it was founded upon, he can place a "Coup" - taking back authoritive control - over BVR my showing a 2/3 majority vote by the CORE membership.
D.) If a Founder Coup has taken place, the Founder will only retain control until a new Board has been created and new Primary Officers selected to once again govern the membership.

ARTICLE XVI -- AMENDMENTS TO BY-LAWS
A.) Any proposed amendment must be submitted in writing to the Officers.
B.) Upon the majority vote by the Primary Officers.
C.) It's acceptance must be proposed by a motion duly made and seconded.
D.) Unless otherwise specified in the motion or the amendment, the amendment shall become effective immediately upon its passage.
E.) The BVR President has authority to amend the By-Laws as he/she sees fit if such amendment is for the purpose of clarification of an existing By-Law or to protect the interests of the membership.
F.) Article XV BVR Founder Clause cannot be amended without a 2/3 majority vote by the CORE membership.
